Varibox CVT Technologies does not manufacture or distribute transmissions. Its business is to license interested parties to evaluate and then commercially manufacture its technology.

In general, licensing agreements are based on the following:

• The intended market for which licensing is required and the issue of exclusivity in the intended market
• Time frame and the cost of evaluation licence
• Projected volumes of production
• Royalty rate per unit produced

There are four basic phases in the development of a Licensing agreement

• Non-confidential disclosure
• Confidential information disclosure on the signing of a non-dislosure agreement
• Evaluation license typically 1 to 2 years
• License agreement
